Terms of Use
Last updated: 2026-10-28
These Terms of Use ("Terms") govern your use of Mattersimple (the "Service"), operated by [email protected], a company registered in Canada with its registered office at 499 Preston Street Ottawa, ON ("we", "us"). By creating an account or using the Service you agree to these Terms. If you accept them on behalf of a firm or other organization, you confirm that you are authorized to bind it, and "you" means that organization.
1. The Service
The Service is practice management software for law firms and other professional practices. It includes matter and contact management, time and expense tracking, invoicing, documents, a calendar, a client portal and a public website for each firm ("Firm"). Features depend on the plan the Firm subscribes to.
2. Accounts
You must give accurate information when you sign up and keep it up to date. You are responsible for everything done under your account and for keeping your password and two-factor authentication secure. Tell us at once at [email protected] if you think your account has been compromised.
The person who creates a Firm is its owner. The owner decides who joins the Firm and what each member can do, and is responsible for their use of the Service.
3. Trials, plans and payment
A new Firm may start with a free trial of the length shown at sign-up. When the trial ends, the Firm must choose a paid plan to keep using the Service. Plans are billed per active member ("seat"), monthly or yearly, in advance, through our payment provider. Prices are shown in the Service and may change. Taxes are added where required.
If a payment fails we may retry it, and if it still fails we may lock the Firm's workspace until it is paid. Your data is kept while the workspace is locked, subject to section 9. Fees are non-refundable except where the law requires otherwise or we say so in writing.
4. Online payments from your clients
Firms may take payments from their own clients through the Service using a payment account with our payment provider (currently Stripe). That account is between the Firm and the payment provider, under the provider's own terms. We are not a party to payments between a Firm and its clients and are not responsible for them, including refunds and disputes.
5. Your content and your clients' data
You keep all rights in the content you and your clients put into the Service ("Customer Data"). You give us the rights we need to host, process, back up and display Customer Data to provide the Service to you.
For personal data about your clients and other third parties, you are the controller and we are your processor. We process it only on your instructions, as described in our Privacy Policy and any data processing terms we agree with you. You are responsible for having a lawful basis to collect it and for meeting your professional obligations, including confidentiality and record keeping.
6. Acceptable use
You must not use the Service to break the law, infringe others' rights, send spam, distribute malware, attempt to access other customers' data, overload or probe our systems, or resell the Service without our written agreement. Themes and code you upload must not harm visitors to your website. We may suspend content or accounts that breach this section, and will tell you why unless the law prevents it.
7. Your website
You are responsible for the content of your Firm's public website, including its legal pages, and for your right to use any domain you connect to it.
8. Availability and support
We aim to keep the Service available and secure, but it is provided without a guarantee of uninterrupted availability. We may change or improve features. If we remove a feature that is material to your plan, we will tell you in advance. Support is available through the Support page in the Service.
9. Cancellation and deletion
The owner can cancel the subscription or delete the Firm at any time in the Firm's settings. Deleting a Firm takes it offline at once and permanently erases its data after a grace period of 30 days, during which the owner can change their mind. Export anything you want to keep before then. We may suspend or end your access if you seriously or repeatedly breach these Terms, or fail to pay.
10. Intellectual property
The Service, including its software, design and documentation, belongs to us or our licensors. These Terms do not give you any rights in it other than to use the Service as described here.
11. Liability
Nothing in these Terms limits liability that cannot be limited by law. Subject to that, we are not liable for indirect or consequential loss, or for loss of profit, revenue, data or goodwill, and our total liability in any 12-month period is limited to the fees you paid us in that period.
12. Changes to these Terms
We may update these Terms. We will tell you about material changes at least 15 days before they take effect. If you keep using the Service after that, the new Terms apply.
